1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the HealthSpan Method™ MD Implementation Cohort landing page, application process, enrolled program experience, and HSM MD Physician Community membership (collectively, the "Services") offered by HealthSpan Method™ MD ("we," "us," or "our"). The HealthSpan Method™ is a physician-developed clinical implementation framework created by Frederick Brown, MD. By accessing our landing page, submitting an application, or enrolling in the program, you agree to be bound by these Terms.

2. Nature of the Application and Enrollment Process

Submitting an application through this funnel initiates a review and fit evaluation process for the HSM MD Implementation Cohort. Submission of an application does not guarantee enrollment. Enrollment is confirmed only after a fit/enrollment call with our team and receipt of your enrollment payment of $2,500.

We reserve the right to decline any application at our sole discretion. Declined applicants may be invited to the HSM MD Physician Community as a secondary pathway.

3. Eligibility

By submitting an application, you represent that:

  • You are a licensed physician or qualified healthcare provider in good standing

  • You are applying on behalf of yourself and your professional practice

  • All information provided in your application is accurate, complete, and truthful

  • You are at least 18 years of age

  • You are not currently suspended or excluded from any federal healthcare program

4. SMS Communications Program — Terms and Disclosures

Program Description

By providing your mobile phone number and opting into SMS communications on our application or landing page, you expressly consent to receive recurring text messages from HealthSpan Method LLC at the mobile number you provide. These messages are sent in connection with the HSM MD Implementation Cohort and the HSM MD Physician Community. Message frequency will vary based on your application status and program activity.

Types of Messages You Will Receive

By opting in, you may receive the following categories of SMS messages:

  • Application alerts — confirmation of application receipt, review status updates, and next-step instructions

  • Appointment reminders — reminders for your scheduled fit call or enrollment conversation with our team

  • Program and cohort notifications — announcements of cohort open dates, enrollment deadlines, and available seat alerts

  • Educational content alerts — notifications when new HSM implementation modules, clinical case studies, peptide integration resources, or physician community content are released

  • Live session and office hours reminders — alerts for upcoming live cohort sessions, physician Q&A calls, or community events

  • Promotional messages — special enrollment offers, early-access opportunities, pricing for current or future cohorts, and limited-availability notifications

  • Re-engagement outreach — follow-up messages for physicians who have expressed interest but have not yet enrolled, including invitations to future cohort dates or the Physician Community

  • Community updates — relevant activity alerts from the HSM MD Physician Community for enrolled members

How to Opt Out

To stop receiving SMS messages from us, reply STOP to any text message you receive from us. You will receive one final confirmation message confirming your opt-out, and no further SMS messages will be sent. You may also request opt-out by emailing [email protected] or calling (385) 786-0415.

Opting out of SMS does not unsubscribe you from email communications. To opt out of email, click the unsubscribe link in any email or contact us directly.

Message and Data Rates Disclosure

Message and data rates may apply. The number of messages you receive will vary. Check with your wireless carrier for details regarding your plan’s SMS and data charges. We are not responsible for any charges imposed by your carrier.

Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages. Delivery of text messages depends on your wireless carrier and network conditions and is not guaranteed. Neither HealthSpan Method LLC nor any participating carrier assumes liability for messages that are delayed, undelivered, or lost due to carrier issues, network outages, or technical factors outside our control.

SMS — No Third-Party Sharing

Your mobile number and SMS opt-in consent are used exclusively for the communications described above. We do not share, sell, or transfer your SMS opt-in data or mobile phone number to any third party for their marketing or commercial purposes. This is an absolute prohibition and applies regardless of any other data sharing described in these Terms or our Privacy Policy.

TCPA Compliance

Our SMS program is operated in compliance with the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227) and applicable FCC regulations. We collect express written consent before sending marketing or promotional SMS messages. Records of opt-in consent, including the date, time, and method of consent, are maintained as required by law.

5. Program Description and Scope

The HSM MD Implementation Cohort is a structured physician education and implementation program built on The HealthSpan Method™. It is designed to help licensed physicians move from conceptual understanding of advanced therapies to repeatable clinical implementation.

The program includes, as confirmed at time of enrollment:

  • 10 focused HSM implementation modules

  • Application across all eight HSM pillars

  • Real-world clinical cases and implementation examples

  • Peptide and combination-therapy integration content

  • Patient expectations and outcome monitoring frameworks

  • Practice application and economics guidance

  • Six months of HSM MD Physician Community membership

Program content, schedule, format, and included features are subject to change. Any material changes to confirmed inclusions will be communicated to enrolled participants in advance.

6. Investment, Payment, and Refund Policy

Enrollment Investment

The enrollment investment for the HSM MD Implementation Cohort is $2,500, which includes complete cohort access and six months of HSM MD Physician Community membership. Payment terms and accepted methods will be confirmed at time of enrollment.

Refunds and Cancellations

  • Requests for refund submitted before the cohort start date will be evaluated on a case-by-case basis.

  • Once the cohort has commenced, no refunds will be issued for unused modules or early departure from the program.

  • If HealthSpan Method LLC cancels a cohort before it begins, enrolled participants will receive a full refund or the option to transfer to a future cohort.

  • Refund requests must be submitted in writing to [email protected].

7. No Guarantee of Results

The HealthSpan Method™ MD and all related implementation frameworks are educational and clinical tools. We make no representations or guarantees regarding specific outcomes, including practice revenue, patient outcomes, clinical performance, or speed of implementation. Individual results will vary based on physician experience, practice environment, patient population, and implementation effort.

Testimonials, case references, and outcome examples shared in our marketing materials reflect individual experiences and are not representative of all participants.

8. Not Medical or Legal Advice

Content provided through the HSM MD Implementation Cohort, including modules, clinical cases, and physician community discussions, is for professional educational purposes only. Nothing in the program constitutes specific medical, legal, financial, or regulatory advice applicable to your individual practice or patient population. You are solely responsible for ensuring that your clinical decisions and practice operations comply with all applicable laws, regulations, and professional standards in your jurisdiction.

9. Intellectual Property

All content, frameworks, trademarks, methodologies, and materials — including The HealthSpan Method™, the eight-pillar framework, all implementation modules, clinical case content, and community resources — are the exclusive intellectual property of HealthSpan Method LLC or their respective owners. You may not reproduce, distribute, copy, share externally, or create derivative works from any program content without prior written permission.

Your enrollment grants you a limited, non-transferable, non-exclusive license to access program content for your own professional development only. This license does not permit resale, sublicensing, or commercial use of program materials.

10. Physician Community Membership

Six months of HSM MD Physician Community membership is included with your HSM MD Implementation Cohort enrollment. Community membership is personal and non-transferable. Content, discussions, clinical pearls, and case studies shared within the community are confidential to members and may not be shared, published, or distributed outside the community without express written consent of the author and HealthSpan Method LLC.

We reserve the right to remove any member from the community for conduct that is unprofessional, disruptive, or in violation of these Terms, without refund of any community membership fees.

11. Communications Consent

By submitting your application, you consent to receiving communications from HealthSpan Method LLC via email, phone, and SMS (if separately opted in) related to your application status, enrollment, program content, and relevant follow-up. You may opt out of marketing communications at any time. See Section 4 for SMS-specific opt-out instructions.

12. Confidentiality

Information shared during fit calls, enrollment conversations, or within program sessions may include proprietary details about The HealthSpan Method™ framework, pricing, clinical protocols, and business strategy. You agree to keep such information confidential and not to disclose it to third parties without our prior written consent.

13. Limitation of Liability

To the fullest extent permitted by applicable law, HealthSpan Method LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of your use of our Services, reliance on program content, participation in the HSM MD Physician Community, or any SMS communications.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid for the program giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless HealthSpan Method LLC and its affiliates, officers, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of our Services; (b) your violation of these Terms; (c) your provision of false or misleading information in your application; or (d) your violation of any applicable law or third-party right.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. Either party may seek injunctive or equitable relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Modifications

We reserve the right to modify these Terms at any time, including the SMS program description and opt-out procedures. Updated Terms will be posted on our website with a revised effective date. Continued use of our Services after any update constitutes your acceptance of the revised Terms. For material changes to the SMS program, we will provide advance notice via the SMS channel or email.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.
